Solid longform breakdown of how corporate governance shifts under new ownership pressure. The timing of term limits plus immediate application (rather than grandfathering) signal this was targeted removal not procedural reform. I helped a client navigate a similar board overhaul post-acquistion and the pattern was identical, new parent company waits till market pressure is highest then restructures under governance best practices framing. The removal of Henderson (last link to pre-Unilever era) effectivly severs institutional memory which makes future legal challenges harder to mount.

I used to buy Ben and Jerry's because it had a superior old time flavor, the result of premium ingredients. Since its sale to Unilever, other ingredients, including gums, overwhelmed the rich flavor and ruined the taste. It is now in the same category as other super market brands which I also don't buy. Inferior ice cream at inflated prices. No thanks.
